Abstract

In terms of gender equality, Uganda offers a striking paradox: while having affirmative action clauses in its constitution and a considerable presence of women in politics, women are still disproportionately underrepresented in corporate boardrooms. The structural, cultural, and legal factors that uphold gender inequality in Uganda's business leadership are thoroughly examined in this paper through an interdisciplinary approach. The paper examines how deeply ingrained patriarchal norms interact with a primarily aspirational legal framework to replicate male supremacy in board appointments. It is based on feminist legal theory, critical mass theory, and stakeholder theory. It conducts a doctrinal examination of Uganda's constitutional provisions, including the Equal Opportunities Commission Act of 2007, the Companies Act (Cap. 110, 2012), the Capital Markets Authority Corporate Governance Guidelines (2018), and Uganda's commitments under the Maputo Protocol and CEDAW. The article shows that voluntary compliance mechanisms are structurally inadequate to overcome sociocultural hurdles in the absence of binding legislative mandates and strong enforcement through a comparative analysis of legislative quota regimes in Norway, France, and South Africa. A multifaceted reform program that includes mandated board composition disclosure, comply-or-explain requirements, enhanced regulatory enforcement, targeted leadership pipelines, and legislative female quotas is presented in the article's conclusion. In Uganda, achieving gender-equitable boardrooms is a question of economic necessity, international obligation, governance necessity, and constitutional fidelity.
